Bailey General Manager L eah C astella District Counsel IS S UE A R esolution of the B oard of D irectors (B oard) is required to execute a Grant of Easement. B AC K G RO UND I n November 2020, C entral San’s B oard authorized the execution of a 25-year P ower P urchase Agreement (P PA) with R E C S olar f or a 1.75 megawatt (MW ) solar array on the L agiss property. T he array would be designed, constructed, owned, operated, and maintained by R E C S olar and Central S an would be obligated to purchase all solar power produced by the array at a cost of $0.0866/kilowatt-hour (kW h) with no price escalation. By J uly of 2021, the project’s design was suf f icient to complete the environmental review process in accordance with the C alif ornia E nvironmental Quality Act (C E Q A ). I n April 4, 2024 Special Board Meeting Agenda Packet - Page 20 of 97 Page 1 of 4 J anuary 2022, Central S an’s Board adopted a C E Q A mitigated negative declaration and, after more than a year of conducting biological surveys on the Kiewit property as part of the project’s C E Q A mitigation, construction of the solar array began in J uly 2023. C onstruction of the array is nearly complete, and it is now time f or P G&E to complete the electrical interconnection to the power grid, which was directly f unded by C entral San under D istrict Project 100029. I n order to construct the electrical interconnection f acilities on C entral San’s L agiss property, P G&E requires an easement from C entral San. T he Grant of E asement drafted by P G&E has been reviewed and approved by District Counsel. ALT E RNAT I V E S /C O NS I D E RAT IO NS T he B oard could decline to grant P G&E the easement, although this action would prevent Central S an from connecting its solar array to P G&E 's power grid. F I NANC IAL I M PAC T S T his Grant of Easement is part of D istrict Project 100029 and there will be no monetary exchange for the Grant of Easement. C O M M I T T E E RE C O M M E ND AT IO N T he Real Estate, E nvironmental and Planning C ommittee reviewed this matter at its F ebruary 20, 2024 meeting and recommended authorizing the execution of the Grant of E asement. P roposed Resolution April 4, 2024 Special Board Meeting Agenda Packet - Page 21 of 97 Page 2 of 4 RESOLUTION NO. 2024-007 A RESOLUTION OF THE CENTRAL CONTRA COSTA SANITARY DISTRICT AUTHORIZING EXECUTION OF A GRANT OF EASEMENT TO PACIFIC GAS & ELECTRIC, RELATED TO DISTRICT PROJECT NO. 100029 AT 4451 BLUM ROAD, MARTINEZ (APN 159-140-042) WHEREAS, Central Contra Costa Sanitary District (Central San) has determined the easement is necessary for its installation of its solar facilities on 4451 Blum Road Martinez CA. WHEREAS, the attached Grant of Easement was prepared to grant easement rights to Pacific Gas and Electric (PG&E). NOW THEREFORE BE IT RESOLVED by the Board of Directors of Central San as follows: THAT Central San hereby consents to the execution of a Grant of Easement to PG&E, related to the Solar Energy Project, District Project 100029, in Martinez, CA; and THAT the President of the Board of Directors and the Secretary of the District are hereby authorized to execute said document for and on behalf of Central San; and PASSED AND ADOPTED this 4th day of April, 2024 by the Board of Directors of Central San by the following vote: AYES: Members: NOES: Members: ABSENT: Members: Mariah N.
