ISSUE
Board Policy BP-037 - Delegation of Authority to General Manager- requires Board approval for the
General Manager to sign agreements exceeding $200,000. Additionally, given that this agreement is to
assist the Board in the review of the General Manager's job performance, it is being brought to the Board
for approval.
BACKGROUND
Since 2014, the Board has engaged the services of Bienati Consulting Group to assist with the
performance appraisal process for the Executive Management Team positions of General Manager,
Secretary of the District, and Counsel for the District. Dr. Larry Bienati was tasked with developing a formal
performance appraisal process and performance metrics. He solicits feedback from the Board on each
position's performance in relation to the agreed-upon goals and performance metrics and compiles a
report to the Board. In 2015, the Board adopted Resolution No. 2015-027 establishing concurrent annual
performance appraisals for members of the Executive Management Team to be scheduled automatically each
September.
I n addition to conducting the Executive Management Team annual performance evaluations and providing
support to the Board, Dr. Bienati has been training and coaching members of Central San's leadership
team, both individually and as a group. Additionally, in 2019, Dr. Bienati facilitated Central San's
Management Leadership Academy for current and aspiring leaders at Central San, held cohort style, with

other agencies invited to send participants.
Dr. Bienati's current contract with Central San expires September 30, 2025. The contract was originally
executed with a cost ceiling of $42,500, and in 2019, $15,000 was added for additional Board support,
including assisting with the strategic planning process. In 2022, $55,000 was added for performance
appraisals and additional support. Later in 2022, $14,700 was added for continued support at a reduced
hourly rate, bringing the contract to its current cost ceiling of$127,200.
Given the relationship that Dr. Bienati has established with the Board, and his understanding of the Central
San's Strategic Plan Goals, it is recommended that the Board retain the services of Dr. Bienati to continue to
assist with the Executive Management Team performance appraisals, Board support, training and coaching of
the leadership team, and the facilitation of the next Management Leadership Academy.
ALTERNATIVES/CONSIDERATIONS
The Board could elect not to enter into this contract and manage the performance review process
themselves or seek another facilitator. This alternative is not recommended as Dr. Bienati has extensive
experience and knowledge working with Central San.
FINANCIAL IMPACTS
The work completed under this revision is not to exceed $75,000 over the remaining duration of the
contract (completion date of September 30, 2025).
