ISSUE
Board approval is required for the General Manager to execute contracts greater than $100,000.
Additionally, given that this agreement is to assist the Board in the review of the General Manager's job
performance, it is being brought to the Board for approval.
BACKGROUND
Since 2014, the Board has engaged the services of Bienati Consulting Group to assist with the
performance appraisal process for the Executive Management Team positions of General Manager,
Secretary of the District, and Counsel for the District. Dr. Bienati was tasked with developing a formal
performance appraisal process and performance metrics. He is then to assist by soliciting feedback from
the Board on each position's performance in relation to the agreed -upon goals and performance metrics
and to compile a report to the Board.
In 2015, the Board adopted Resolution No. 2015-027 establishing concurrent annual performance
appraisals for members of the Executive Management Team to be scheduled automatically each
September.
Dr. Bienati's current contract with Central San expires May 31, 2022. The contract was originally executed

with a cost ceiling of $42,500, and in October 2019, $15,000 was added for additional Board support,
including assisting with the strategic planning process. The total current cost ceiling of $57,500 is
expected to be expended on the 2021 executive management performance evaluations and strategic
planning support.
Given the relationship that Dr. Bienati has established with the Board, and his understanding of the Central
San's Strategic Plan Goals, it is recommended that the Board retain the services of Dr. Bienati to continue
to assist with the Executive Management Team performance appraisals and Board support for the next
three years, beginning on June 1, 2022 through May 31, 2025, with the option to extend the contract for an
additional two years. This action would bring the total cost ceiling to $102,500. The cost for the
performance evaluations shall not exceed $15,000 per year.
ALTERNATIVES/CONSIDERATIONS
The Board could elect not to enter into this contract and manage the performance review process
themselves or seek another facilitator. This alternative is not recommended as Dr. Bienati has extensive
experience and knowledge working with Central San.
FINANCIAL IMPACTS
The work completed under the contract extension is not to exceed $45,000 over three years.

Authorize the General Manager to execute a three-year extension to the professional consulting services
agreement with Bienati Consulting Group, Inc. to facilitate Executive Management Team annual
performance evaluations and provide Board support, in an amount not to exceed $45,000 commencing
June 1, 2022, bringing the total cost ceiling to $102,500, including an option to extend for two additional
years subject to Board approval.
