The Deferred Compensation Plan Advisory Committee respectfully submits its 2019 Annual Report.
BACKGROUND
Deferred Compensation Advisory Committee
The Board of Directors approved the establishment of the Deferred Compensation Plan
Advisory Committee in January 1982. The scope of activities of the Committee includes:
• Establishing internal administrative procedures
• Educating participants regarding the Plan
• Reviewing emergency withdrawal requests
• Reviewing investment performance of the Plan
• Submission of an annual report to the Board of Directors and Plan participants
Currently, the Advisory Committee is comprised of the following Central San employees:
• Phil Leiber, Director of Finance &Administration (Chair)
• Teji O'Malley, Human Resources Manager(Plan Administrator)
• Kevin Mizuno, Finance Manager(Administration Department)
• Christopher Thomas, Finance Administrator(Administration Department)
• Amal Lyon, Accountant (Administration Department)
• Joshua Whitman, Maintenance Crew Leader (Operations Department)
• Justin Mercer, Instrument Technician (Operations Department)

Selected by the Plan Administrator, the membership of the Advisory Committee is designed to be
representative of plan participants and include employees across the various employee negotiating groups
and organizational departments. The three employee negotiating groups currently at Central San include
the following: Management; Management Support/Confidential Group (MSCG); and the Employees'
Association, public Employees Union, Local 1 (Local 1). The Committee most recently met on March 6,
2020 to discuss the 2019 Annual Report and other topics relevant to the scope of activities outlined
previously. The agenda and minutes of the most recent Advisory Committee are attached (Attachment 4).
Annual Report for Calendar Year 2019
The Annual Report (Attachment 1) shows the current value of assets, segmented between the 457 and
401(a) plans with further detail for employee, beneficiary, and temporary accounts. The report also shows
the distribution of assets by investment type. Also provided in the Annual Report is a trend analysis line
chart showing the changes in total market value over the previous five years, and the mix of assets
between seven investment type categories. Details on the newly-established 401(h) Retirement Health
Savings (RHS) Plan are also provided on page 36 of Attachment 1.
The I CMA-RC program that Central San offers provides participants a wide variety of investment
alternatives across various asset classes, with the selection of the asset mix being the choice of individual
participants. The Committee noted that in the aggregate, participants have a relatively large share of
assets in the stable value/cash management plan when compared the total distribution of I CMA-RC 457
Client assets (Attachment 2). Per discussion with I CMA-RC, Central San's participant profile (a generally
somewhat older workforce, and with a defined benefit pension program)typically explains the more
conservative allocation. Also noteworthy, the ICMA-RC representatives highlighted that Central San Plan
participants in the age range of 35 and under invested more heavily in U.S. stocks (46.2%) rather than the
Balanced/Asset Allocation option (22.1%), which is generally reversed when compared to other I CMA-RC
retirement plan clients. The Committee discussed opportunities for enhancing the outreach offered by
ICMA-RC to discuss with participants foundational issues regarding defined contribution plans, including
the importance and potential consequences of asset allocation decisions.
In conjunction with its transition to the CaIPERS Health Benefits Program effective July 1, 2019, Central
San implemented a Health Reimbursement Arrangement (HRA)for Tier I I I employees for both Local 1
and MSCG. The District contributes 1.5% of base salary for each eligible employee to be used for for
eligible I RS qualified medical expenses post District employment. Accordingly, Central San entered into
an agreement with I CMA-RC to open and administer an HRA(401(h) Retirement Health Savings Plan).
The Retirement Health Savings (RHS) Plan's assets reported a total market value of$125,226 as of
December 31, 2019. In the first six months of the RHS Plan's existence, there were total employer
contributions of$120,280 and investment gains (net of fees) of$4,946, representing total growth of
approximately 3.95%.
Also included in the agenda packet for the Committee and attached here (Attachment 3), is a best practice
paper issued by the Government Finance Officers Association (G FOA) on asset allocation, and the
importance of providing an appropriate menu of investment choices for participants. This topic is
reviewed annually by the Committee to ensure the Deferred Compensation Plan is being administered in
accordance with best practices and that potential red flags are identified and addressed in a timely
manner. No significant issues or deviations from the GFOA recommendations were noted that required
corrective action.

Education & Outreach to Plan Participants
I n the prior year it was noted that Central San could expand efforts to improve participant education on the
457 Deferred Compensation Plan and 401(a) Money Purchase Plans offered by the District, as well as on
retirement in general. During 2019 Central San has worked with I CMA-RC to design a financial wellness
seminar program to educate employees on important and trending retirement topics. Eight seminars,
facilitated by I CMA-RC, will be held throughout calendar year 2020 in the Plant Operations Building Multi-
Purpose Room (MPR)for employees to attend. Furthermore, Central San will continue to offer monthly
recurring on-site face-to-face meetings with an ICMA-RC Retirement Planning Specialist. These one-on-
one meetings allow employees the opportunity to learn about I CMA-RC online tools, discuss retirement
planning strategies, investment options, and make investment strategy and allocation changes. These
meetings continue to be popular with Central San employees, demonstrated by 18 new enrollments and
117 one-on-one employee meetings with an ICMA-RC Retirement Planning Specialist having occurred
during 2019 spread over 15 service days.
Looking forward to 2020, the Advisory Committee plans to meet quarterly to focus on improving oversight
activities and to expand Advisory Committee Member, employee, and retiree education opportunities.
Renewal ofAdministrative Services Agreement
I n January 2014, the District entered into a 5-year agreement with I CMA-RC to provide recordkeeping and
education services for the District's 457 Deferred Compensation Plan and 401(a) Money Purchase Plan.
The agreement outlined compensation to I CMA-RC of 0.14% on an annual basis. Any revenue received
from funds above the 0.14% was returned to the District into an Administrative Allowance Account. On an
annual basis beginning in 2015, the District asked that the majority of the Administrative Allowance Account
be distributed to plan participants on a pro-rata basis.
During this time, the share class for the Vantagepoint funds was also changed to reflect a smaller amount
of revenue generated from the Vantagepoint fund offerings (from R5 to R7). Six years later, I CMA-RC is
now offering a reduction in pricing from 0.14% to 0.0525% and a change in share class from R7 to R9
reflecting a reduction of approximately 0.10% in the expense and revenue paid from the Vantagepoint
funds. All revenue received above 0.0525% will still be returned to the District into the Administrative
Allowance Account. The term for the new administrative services agreement is approximately 2 years with
an expiration date of December 31, 2021.
ALTERNATIVES/CONSIDERATIONS
None.
FINANCIAL IMPACTS
The Board's acceptance of the Annual Report for 2019 does not have any direct fiscal impacts to Central
San.
COMMITTEE RECOMMENDATION
The Finance Committee reviewed this item at its March 24, 2020 meeting and recommended

Background: Committee/Chair
Defined contribution (DC) plans, including supplemental plans, are an important financial
element of public-sector retirement that help participants attain their retirement goals. Plan
sponsors have a responsibility to understand structure, costs, and fees of the plan.
A large and increasing number of state and local governments provide some form of a defined
contribution retirement plan for their employees, in most cases a voluntary deferred
compensation arrangement under Section 457 or Section 403(b) of the Internal Revenue
Code. These arrangements may be in addition to, or in lieu of, a traditional defined benefit
pension plan. Under most defined contribution plan arrangements, the participating employees
self-direct investment of the funds credited to their individual accounts from a menu of
investment options selected, or offered, by their employers.
Recommendation:
GFOA recommends that public employers as plan sponsors work actively with the plan
administrators to provide investment options and education to help employees who participate
in defined contribution plans attain their income replacement goals in retirement. (See the

Discussion: The annual report as of 12/31/19 was presented by Erika Armstrong and discussed by
the group including the asset mix, categories of holdings, investment choices, and fees associated
with each investment. Ms. Armstrong explained ICMA-RC is offering a reduction in pricing from
0.14% to 0.0525% on the Administrative Services Agreement and that any renewal received above
0.052% would continue to be returned to the District in the Admin Allowance Account. The
Committee discussed and asked to proceed with this change. As to investment choices, Ms.
Armstrong noted that Central San is the fiduciary for The Plan and can select different investment
options for participants if desired. Ms. Armstrong pointed out that the number of Plan participants
in the 35 year and younger range enrolled in the Balanced/Asset Allocation option (22.1%) was lower
than most ICMA-RC clients. She further noted this maybe a result of members being more involved
in their investment selections and better educated on investment strategies following successful
education and outreach efforts conducted by District staff in conjunction with ICMA-RC during 2019.
3. Reviewing loans and emergency withdrawal requests

Discussion: Ms. Armstrong noted there was one emergency withdrawal request. Outstanding loans
are listed on the annual report with 45 currently active. No approval for loan requests is required
by the Deferred Committee or Central San;such loans are requested by the participant directly with

ICMA. It was noted that six loans have defaulted (are not being repaid as required, in such cases
ICMA reports the withdrawal as a distribution and have been deemed taxable). One loan is
delinquent(not yet in default).
Committee Members requested the Plan Document be reviewed at next meeting and the topic of
member loan approvals should be put on the agenda for further discussion.
4. Educating participants regarding the Plan
Discussion: Ms. Hammond discussed some proposed enhancements/additional education
opportunities by ICMA including hosting more brown bag/educational seminars about asset
allocation and investing for the long term and establishing a comprehensive education plan that
incorporates seminars, targeted marketing and getting the most out of the onsite visits. It was noted
that the plan to ramp up education opportunities in 2019 was successful in terms of contacts, and
addressing concerns identified in 2018 such as assets leaving with retirements. Ms. Hammond also
noted that one-on-one consultations increased from 84 to 117 from 2018 to 2019. Contributions
also increased 10% versus being that in the previous period. Furthermore, Ms. O'Malley said a
schedule of 8 educational seminars has been coordinated with ICMA-RA to be held in the District's
MPR conference room.

Discussion: Mr. Mizuno distributed the draft position paper and attachments that will serve as the
2019 Deferred Compensation report to the Board of Directors, which was included as part of the
agenda packet. The Committee did not have any changes.

Discussion:Action was taken to name members as Philip Leiber, Kevin Mizuno, Teji O'Malley, Chris
Thomas,Amal Lyon,James Olympia,Joshua Whitman,Justin Mercer and Brent Harvey. Mr. Burnash
will be retiring so will no longer serve on the committee.

7. Establishing internal administrative procedures/ Scope of Committee

Discussion: Mr. Leiber and Ms. O'Malley discussed that a draft charter for the Committee will be
compiled and circulated at a future meeting for review of the committee members and adoption. It
will indicate the scope of the Committee and rules and procedures which surrounding action
involving the 401a, 457, and HRA Plans.
Justin Mercer asked if Central San maintained insurance coverage for committee members. Mr.
Leiber responded he would discuss the matter with Risk Management and provide a response at the
next Advisory Committee Meeting (Subsequent discussion with Shari Deutsch indicated coverage is
maintained for committee members specifically named by Central San to the insurance carrier.)
The meeting frequency of the Committee was discussed with the Committee Members agreeing the
goal will be to meet quarterly moving forward.
