SUBJECT: AUTHORIZE THE GENERAL MANAGER TO EXTEND THE EXISTING
PROFESSIONAL CONSULTING SERVICES AGREEMENT WITH BHI
MANAGEMENT CONSULTING FOR ONE YEAR COMMENCING JULY 1, 2019

ISSUE
Board approval is not required for the General Manager to execute contracts less than $100,000.
However, given that this agreement is to provide a workshop and training to the Board, it is being brought to
the Board for approval.
BACKGROUND
Section B.5. of Board Policy No. BP 023 - Board Ethics and Conduct states that the Board must conduct
an annual public self-evaluation workshop. Central San has been receiving professional consulting
services from Brent Ives of BHI Management Consulting (BHI) since June 2015. The contract includes
services to facilitate the annual Board self-evaluation workshops, open consulting hours with the General
Manager as needed, and Mr. Ives' travel and other expenses. The existing contract with BHI will expire on
June 30, 2019.
At the Administration Committee meeting on June 4, 2019, the Committee suggested extending the
BHI contract for one additional year to facilitate the next annual Board self-evaluation workshop.

ALTERNATIVES/CONSIDERATIONS
The Board could elect not to enter into this contract and facilitate the 2020 Board workshop in some other
manner, or seek another facilitator.
FINANCIAL IMPACTS
The total contract is not to exceed $16,280 over the next fiscal year.
COMMITTEE RECOMMENDATION
The Administration Committee reviewed this item at its June 4, 2019 meeting and recommended
approval.
RECOMMENDED BOARD ACTION
Authorize the General Manager to extend the existing professional consulting services agreement with
BHI for one year commencing July 1, 2019 in an amount not to exceed $16,280 to facilitate the 2020
Board self-evaluation workshop
