Central San BOARD OF DIRECTORS POSITION PAPER Board Meeting Date: January 12, 2017 Subject: AUTHORIZE THE GENERAL MANAGER TO APPROVE A SECOND AMENDMENT TO AN EXISTING AGREEMENT WITH BIENATI CONSULTING GROUP FOR PROFESSIONAL SERVICES RELATED TO ORGANIZATIONAL DEVELOPMENT RELATED PROJECTS Submitted By. O'Malley—Human Resources Manager Roger S.Bailey General Manager ISSUE: Board approval is required for the General Manager to nd an existing professional services agreement in an amount greater than $100,000. BACKGROUND: In 2014, Central San entered into a professional services agreement with Bienati Consulting Group in the amount of$84,000 to undertake several organizational development related projects. Since that time, Dr. Bienati has assisted Central San in completing the Strategic Plan; developed and implemented the Management Academy in 2015; provided leadership and team-building coaching and training to the Executive Team; and assisted in the development of Central San's Mentorship Program; as well as other related services. In April 2016, the Board approved an amendment to the contract with Dr. Bienati for additional organizational development related projects, including one-on-one coaching to the Executive and Management Team members, as well as training on various leadership topics related to the group. The original contract amount was increased by $110,000 to $194,000. Given Dr. Bienati's extensive knowledge of the organization and workplace culture, staff is now recommending the contract be further amended to retain his services for implementing and facilitating Central San's Management Academy slated to begin in spring of 2017. The cost of this second amendment and expansion of the scope of work is $50,000, bringing the total cost ceiling to $244,000. The work being performed by Bienati Consulting Group is in alignment with Goal Four of the District's Strategic Plan, specifically Strategy 1 — Ensure Adequate Staffing and Training to Meet Current and Future Operational Levels. POSITION PAPER Board Meeting Date: January 12, 2017 subject: AUTHORIZE THE GENERAL MANAGER TO APPROVE A SECOND AMENDMENT TO AN EXISTING AGREEMENT WITH BIENATI CONSULTING GROUP FOR PROFESSIONAL SERVICES RELATED TO ORGANIZATIONAL DEVELOPMENT RELATED PROJECTS ALTERNATIVES/CONSIDERATIONS: Do not authorize the General Manager to amend the professional services agreement with Bienati Consulting Group. If this action is not approved, the District would not be able to effectively and efficiently implement this level of comprehensive training and coaching. FINANCIAL IMPACTS: The additive cost of this amendment is $50,000. COMMITTEE RECOMMENDATION: This matter was not reviewed by a Committee. RECOMMENDED BOARD ACTION: Authorize the General Manager to execute a second amendment to an existing professional services agreement with Bienati Consulting Group in the amount of$50,000, increasing the contract cost ceiling from $194,000 to $244,000 for professional services related to organizational development projects.
