ISSUE: In accordance with purchasing procedures, Board authorization is required for
the General Manager to amend a professional services agreement when the total
amount exceeds the staff authority of $100,000.
BACKGROUND: Katz & Associates provided Crisis Communications Leadership
Training and Comprehensive Wastewater Master Plan (CWMP) Messaging training to
staff and Board Members in August 2016 as part of a $20,000 Professional Services
Agreement entered into by General Manager Roger Bailey. Staff wishes to amend the
existing agreement to allow for additional services to support increased and timely
outreach for the CWMP and Central San's Proposition 218 outreach well into 2017.
The cost of these additional services is estimated to be approximately $84,505, bringing
the total contract amount slightly above the $100,000 General Manager authority limit.
For this reason, staff is seeking the Board's approval to amend the contract.
Strateaic Plan Tie -In: The amended contract will meet Central San's Strategic Plan
Fiscal Year 2016-18 Goal 1 — Provide Exceptional Customer Service, Strategy 1 —
Foster Customer Engagement and Awareness.
ALTERNATIVES/CONSIDERATIONS: The Board could decide not to authorize an
amended agreement with Katz & Associates for the communications and outreach
support for the CWMP and Proposition 218, but that would lessen the overall amount
and quality of Central San's outreach to the community and customers.
FINANCIAL IMPACTS: Adequate funds to cover this contract amendment are
available in the Planning and Development Services and Communication Services
Fiscal Year (FY) 2016-17 budgets, which were approved by the Board on June 2, 2016.

COMMUNITY OUTREACH: This work will help support extensive outreach necessary
to meet the increased demands that the CWMP and Proposition 218 requires over a
specific timeframe.
COMMITTEE RECOMMENDATION: This matter was not reviewed by a Board
Committee.
RECOMMENDED BOARD ACTION: Authorize the General Manager to amend an
existing Professional Services Agreement with Katz & Associates in an amount not to
exceed $84,505, bringing the cost ceiling to $104,505, to provide materials and support
for the CWMP and Proposition 218 business and customer outreach objectives.
