HomeMy WebLinkAboutBOARD MINUTES 09-16-15 (Special)MINUTES OF THE SPECIAL MEETING OF THE DISTRICT BOARD OF THE CENTRAL CONTRA COSTA SANITARY DISTRICT HELD ON SEPTEMBER 16, 2015 The Board of Directors of the Central Contra Costa Sanitary District convened in a special meeting in the McHale Room at the Pleasant Hill Community Center, 320 Civic Drive, Pleasant Hill, County of Contra Costa, State of California, at 8:13 a.m. on Wednesday, September 16, 2015. President McGill called the meeting to order and requested that the Secretary call roll. 1. ROLL CALL PRESENT: Members: Causey, Nejedly, Pilecki, Williams, McGill ABSENT: Members: None None. 2. PUBLIC COMMENTS 3. BOARD GOVERNANCE WORKSHOP General Manager Roger Bailey made opening remarks and introduced Brent Ives, Principal of BHI Management Consulting and organizational consultant to special districts, including strategic planning, board dynamics and board /manager relations. Mr. Ives served as facilitator for the workshop. Mr. Ives reviewed a PowerPoint presentation covering such topics as an overview of the Board's role, a review of the Board's recent self - evaluation results, and a topical review and discussion regarding Boards, the Brown Act and confidentiality, Board communication protocols and micromanagement, the purpose and process of Board Committees, and tips and experience related to videotaped meetings. It was the consensus of the Board that good practice dictates that Board communication with staff should take place via the General Manager, and vice versa. While there may be rare exceptions to this protocol, it is the general protocol under which this Board should operate. It was left to the discretion of the General Manager to decide whether information on any particular matter should be disseminated to the full Board. With regard to the Brown Act and confidentiality, all Board Members agreed to adhere to the "Duty of Loyalty" with respect to closed sessions. This means refraining from disclosing confidential information about closed session matters at either Board or Committee meetings unless duly authorized or legally mandated. Book 64 — Page 100 CENTRAL CONTRA COSTA SANITARY DISTRICT Board Minutes of January 20, 2015 It was noted that attendance at future closed sessions regarding labor negotiations may be limited to the General Manager and labor negotiators from IEDA. Secretary of the District Elaine Boehme noted that Section 2.12.040.D. of the District Code mandates that she produce minutes of closed session meetings. She requested clarity as to how she can discharge her duties if she is not in attendance. District Counsel said possible remedies include delegating that responsibility to someone who is in attendance, or amending the District Code. Member Williams said he would like Mr. Alm to research when the specifics of closed session votes must be disclosed. 4. ANNOUNCEMENTS President McGill announced that a closed session will be scheduled during the October 1, 2015 meeting to review the General Manager's performance evaluation. Secretary of the District Elaine Boehme announced that additional training on use of iPads will be provided to Board Members and Managers on November 17, 2015. 5. ADJOURNMENT There being no further business to come before the Board, President McGill adjourned the meeting at 12:15 p.m. Michael R.
