ISSUE: Board of Directors' authorization is required for the General Manager to
execute professional services agreements for amounts greater than $100,000.
BACKGROUND: The Board adopted the Fiscal Year (FY) 2015 -16 Capital
Improvement Budget (CIB) on June 4, 2015. Several design and construction projects
have been or will soon be presented to the Board for award in the Collection System
and Treatment Plant Programs. The Survey Section (Survey) within the Capital
Projects Division provides design and construction surveys that serve as the framework
for the Collection System Renovation projects. In addition, Survey reviews legal
descriptions for Development Projects, assists with Right -of -Way requests, files maps in
compliance with state law, and supports treatment plant projects and other projects
identified in the CIB. An evaluation of the design and construction workload projected in
the CIB and into FY 2016 -17 indicates that Survey will need additional support to
complete these projects. The proposed agreement will assist the Grayson Creek Trunk
Sewer; Lafayette Sewer Renovations, Phases 10 and 11; North Orinda Sewer
Renovations, Phase 6; Martinez Sewer Renovations, Phase 4; Walnut Creek Sewer
Renovations, Phase 11; and other CIB projects.
On September 14, 2015, a Request for Proposals (RFP) was publicly advertised on the
District's website and PlanetBids (bidding exchange website). Eight firms responded
with qualified and responsive proposals. After evaluating the proposals based on
qualifications, rates, and proximity to the District, staff selected Towill, Inc. ( Towill).
Staff is recommending executing an agreement with Towill to provide as- needed
professional survey work for Capital Improvement Projects and Development Services.
The agreement will be initiated for a one -year duration at a cost not to exceed
$150,000, with an option to extend an additional year based solely at the District's
discretion. The extension will not exceed $200,000; therefore, the total agreement may
reach a cost up to $350,000. Towill has a well- rounded background in assisting other

public agencies with design and construction survey, right -of -way, and compliance with
the Land Surveyors Act.
ALTERNATIVES /CONSIDERATIONS: The Board can elect not to authorize the
General Manager to execute the agreement, which is not recommended since the
survey work is needed to implement several projects within the CIB.
FINANCIAL IMPACTS: The total estimated cost for the agreement may reach up to
$350,000. These costs have been budgeted, and will be paid for by the projects
identified in the CIB and Development Services.
COMMITTEE RECOMMENDATION: The Engineering and Operations Committee
reviewed this subject at the meeting on October 7, 2015, and recommended approval of
this agreement.
RECOMMENDED BOARD ACTION: Authorize the General Manager to execute a
professional services agreement with Towill, Inc. in an amount not to exceed $350,000
to provide as- needed surveying services for Capital Improvement Projects and
Development Services.
