BAILEY, GENERAL MANAGER SUBJECT: UPDATE ON GENERAL LEGAL SERVICES The Department Directors, Secretary of the District, District Counsel, and I met to discuss legal services at the District. Keeping in mind the Administration Committee's comments and direction, we discussed Kent's current and future plans and the need for a succession plan for legal services. Kent indicated that he currently has a contract with Meyers Nave and he has no plans to make changes to that arrangement, through the end of the year. He indicated he has great loyalty to the District and was pleased that the District may have interest in him focusing more of his time on the District in the next few years. There was a discussion of approaches as to how this could be accomplished, while providing adequate backup services and a smooth ultimate transition. We came up with a proposed two- phased approach as follows: Phase 1: Increase Office Hours from the current one day per week, fulfilled by Kent, to three half -days per week, with two of those half days fulfilled by Kent and the other by another Meyers Nave attorney, acceptable to the District. This will assist with cross - training and succession planning. Kent will continue to cover Board matters and be the Counsel for upper management staff. Phase 1 will be implemented at least through the end of 2015. Phase 2: Kent intends to practice law actively beyond 2015. His desire is to represent the District actively during his continued years of practice. The level and manner of how future service can be best provided will be evaluated as may be appropriate based on the future District's needs and its satisfaction with Phase 1. A two -year plus contract with Meyers Nave was suggested to generally coincide with the renewal of the District's labor agreements. Typical terms providing for termination for convenience will be included. Rates have not yet been discussed. Kent is going to work on a proposed rate structure.
