Fieldman, Rolapp & Associates is pleased to submit a detailed scope of services with proposed
compensation for your review. We would anticipate that the scope of services and compensation
for services would be incorporated into our standard contract or in accordance with the District's
standard form of contract. Please note that if, and only if, the District would move forward with a
financing, the fees associated with any financing will be based on the completion of the financing
only and paid out of the proceeds of the transaction at closing.
We would also highly recommend that the financing team to include; bond counsel, consultant
actuary and underwriter, be selected and put in place sooner rather than later since we may need to
access their knowledge base in the analytical portion of the assignment, particularly as it relates to
the Unfunded Liability options.

Scope of Services:
Our proposal included a 5 step Approach to serving Central Contra Costa Sanitary
District. This Scope of Services provides greater detail on the steps.
Analyze the Options:
I) Define the District's current status regarding pension and OPEB issues.
i) Analyze the most recent CAFR and determine the District's current cash
balances and net revenues available for debt service.
ii) Review the terms of outstanding debt to define the "waterfall" of revenues to
pay for operation and maintenance expenses, debt service and paygo capital.
iii) Review the District's rating status to define the strengths and weaknesses of
the District's credit.
iv) Identify the current UAAL with CCCERA and OPEB liability and define the
factors that have caused the liabilities to increase during recent years.
2) Develop a cash flow model that calculates coverage on the District's debt and defines
funds available for paygo capital.
i) Model will allow for generation of scenarios based on different revenues,
costs and interest rates.
3) Distill the District's goals from discussions with staff and Board members to define
priorities for the financial plan.
4) Review District's capital improvement plan to determine the planned improvements
and priority for financing and construction.
Develop Scenarios:
1) Develop scenarios for dealing with District's pension UAAL and planned capital
improvements providing different proportions of debt and paygo.
2) Draft term sheets for proposed financing types.
Align Options with Goals:
1) Prioritize scenarios consistent with the District's goals.
Create Financial Plan:
1) Develop a written financial plan draft incorporating the term sheets and the cash flow
model, including a schedule of activities.
2) Present the financial plan to the staff, finance committee and Board.
Implement Financial Plan
1) Develop quantitative sizing of proposed financing.
2) Assemble financing team, in addition to bond counsel and underwriter:
a) Disclosure counsel
b) Trustee
3) Develop specific schedule of responsibilities.

Hourly compensation will be billed on a monthly basis.
For the District's convenience, we have provided general estimates of the monthly costs
for the four task areas to be compensated on a monthly basis. We have assumed that the
planning efforts will be conducted from July to October, 2012.
We note that these numbers represent our estimates of the high end of cost, but that the
actual compensation can vary from these numbers depending on the specific
circumstances and the level of cooperation of third parties involved.

For activities to Implement Financial Plan, Fieldman will be compensated for specific
financings on the following basis:

These compensation amounts assume that the financing is completed by March 1, 2013.
Compensation to Implement Financial Plan will be billed on a completion basis at closing
and will be payable from the proceeds of the financing.
Expenses will be billed for separately and will cover, among other things, travel, lodging,
subsistence, overnight courier, conference calls, computer, and fax transmission charges.
Advances made on behalf of the District for costs of preparing, printing or distributing
disclosure materials or related matter whether by postal services or electronic means, may
also be billed through to the District upon prior authorization. Additionally, a surcharge
of 6° ,'O of the compensation amount is added to verifiable out -of- pocket costs for recovery
of costs such as telephone, postage, document reproduction and the like. Expenses are
billed consistent with the project activities related to the expense.

SUBJECT: TEMPORARY EMPLOYMENT AGENCIES
Recently there have been several questions from the Committee on payments to
temporary employment agencies. This memo is intended to provide the Committee with
a brief overview of the use of temporary employment agencies at the District. The
District uses temporary employment agencies to cover vacancies as a result of leaves,
retirement, or special projects. Temporary employees are hired on an as- needed basis.
At any given time, the District may use multiple temporary agencies to meet the
District's staffing needs.
Typically, when a vacancy occurs, the hiring supervisor will submit a written request to
the General Manager requesting authorization to hire a temporary employee. Once the
request is approved, Human Resources assists with finding a temporary employee.
The temporary employment agencies are notified of the vacancy, and they are asked to
provide a quote on the hourly rate and a minimum of three candidate profiles for the
hiring supervisor's consideration. This allows the District to consider the best candidate
while obtaining competitive pricing from the agencies. Below is a sample list of
temporary employment agencies that the District currently works with:

• Kimco
In cases where the position is more specialized (i.e. IT, mechanical, trades,
engineering), the hiring supervisor may contact a staffing firm specializing in the area of
expertise and contract with the firm directly.

SUBJECT: UPDATE ON INSTALLMENT PAYMENT OF CAPACITY FEES
Staff provides a periodic update to the Budget and Finance Committee on installment
payment arrangements for capacity fees. This memo provides the updated status for
each installment payment agreement:
Senro Sushi in San Ramon — Connection fees were approximately $31,800. The
business owners proposed a two year agreement for paying the fees. Because the
amount was substantial, staff asked for Board authorization to execute an agreement,
and the Board authorized the agreement In March, 2011. The business owners made a
substantial down payment and signed an installment payment agreement to make
monthly payments for two years. The owners have been making timely payments of
$1,200 per month.
2 Berrybrook Hollow, Orinda (Residential) -- Staff discovered during a routine review of
District records that the capacity fees for this single family residence had not been paid
when the property was connected to the sanitary sewer. The property owner, Mr. Don
Horn, who was also the contractor for the project, was contacted and he offered to
make installment payments starting in October and ending in February, 2012. Staff
informed the Budget & Finance Committee of these arrangements on October 3, 2011.
Mr. Horn made timely payments and the capacity fees were completely paid off in
February, 2012.
Monsoon Masala in Pleasant Hill -- At a delinquency hearing on June 16, 2011, the
Board directed staff to negotiate a new installment payment plan for the remaining
capacity fees due, spreading the payments out over a 12 -year period, the equivalent of
a Capacity Use Agreement for the remaining fees. Monthly payments resumed under
the new payment plan in July, 2011, and the business owners made regular monthly
payments until February, 2012. The restaurant closed in March without notification to
the District. Plans have been received for a new sushi restaurant at this site, and staff
informed the property manager of the remaining capcity fees owed for a restaurant use.

A check was received on May 31 for the remaining capacity fees. This location is now
fully paid in for a restaurant.
19 Cobblestone Court, San Ramon (Residential) -- When the City of San Ramon
requested comments on a variance application for the second living unit on this
property, staff discovered that the capacity fees had not been paid when the property
was connected to the sanitary sewer. The second living unit had been built without a
building permit, and the property owner was seeking to legalize the unit in response to
action from San Ramon Code Enforcement. Staff requested that payment of the
District's fees be made a condition of granting the variance and contacted the property
owner, Ms. Nancy Neto. The property owner agreed to an installment payment plan
that would conclude by June, 2012 since that is when delinquencies would next be
considered by the Board. The property owner has made timely payments.
Staff continues to monitor receipt of payments on the above agreements closely and will
report to the Budget and Finance Committee in November, 2012.
