Engineering Dept./lnfrastructure Div. ISSUE: Board approval is required to accept Grants of Easement. BACKGROUND: The subject sanitary sewer easements are part of the right of way being acquired for the Pleasant Hill Relief Interceptor and Reclaimed Water Line project. This section of the Interceptor is located south of Taylor Boulevard, and will be constructed under the present alignment of the concrete lined Grayson Creek flood control channel. Property owners in this area still own the underlying property rights along the channel alignment and therefore rights to install the interceptor must be obtained from them (see attached map). An appraisal has been prepared by a licensed real estate appraiser (Associated Right of Way Services) hired by the District to determine the value of the proposed easements. Based on recent comparable sales of similar properties and the impact of the proposed easements on the value of the existing lands, the compensation amount was appraised to be a nominal value between $300 and $2000. The value of the easements reflects the existing encumbrance on the individual properties caused by the Grayson Creek channel. Staff has reviewed the appraisal report and agrees with its findings. An agreement has been reached with the property owners, and Grant of Easement Deeds have been signed. Funds for the purchase of the easement are included in the authorized Pleasant Hill Easement Acquisition Project, D.P. 4985. The following is a list of parcels and amounts paid to each. This project was addressed in the 1991 Pleasant Hill/A-Line EIR and the 1993 Recycled Water Pipeline Project Negative Declaration. No additional environmental documentation is required. Paul Morsen, Deputy General Manager Administrative/Human Resources ISSUE: In accordance with the Memorandum of Understanding (M.O.U.) between the District and the Central Contra Costa Sanitary District Employees' Association, Public Employees' Union, Local No. One, the Board must employ an arbitrator to render a recommendation when grievances are appealed to the Board level. BACKGROUND: Retiree Rod Smith is grieving two issues which he raised prior to his retirement: He alleges the District was required to provide him light duty commensurate with his medical restrictions while he appealed the decision of the County Retirement Board. Also, he claims he was entitled to various benefits from the date the Retirement Board granted his retirement retroactively to his actual retirement date. The General Manager-Chief Engineer has heard this grievance at Step 3 of the Grievance Procedure and has denied the grievance. The grievant has appealed his grievance to the Board of Directors. In matters that are appealed to the Board of Directors (Step 4), the M.O.U. reads as follows: "Step Four In the event such differences are not settled and the grievant desires the grievance to be considered further, it shall be presented, in writing, to the Secretary of the District with five (5) days of receipt of the General Manager-Chief Engineer's decision. The Secretary shall calendar the agenda item at the next regularly scheduled Board Meeting in keeping with established guidelines for calendaring an agenda item. The Board shall employ a neutral third party to hear the matter and recommend action to the Board. The District and the Union shall equally share the cost. If the parties cannot agree on a neutral third party, then a list of five (5) neutral individuals shall be requested from the State Conciliation Service and the parties shall use the alternate elimination method to determine who shall conduct the hearing. The Board may adopt, reject, or modify the recommendation of the appointed neutral third party. The decision of the Board is the final action of the District." SUBJECT AUTHORIZE THE GENERAL MANAGER-CHIEF ENGINEER TO EXECUTE THE TERMINATION AGREEMENT FOR SPECIAL METERING ARRANGEMENT WITH PACIFIC GAS & ELECTRIC COMPANY AND CONTRA COSTA WATER DISTRICT DATE June 28, 1995 TYPE OF ACTION AUTHORIZE AGREEMENT SUBMITTED BY James R. Engineering/Planning ISSUE: Pursuant to the October 6, 1994, General Agreement with the Contra Costa Water District (CCWD) for Recycled Water, the staffs of both agencies have negotiated an agreement that conforms future electric power billing with the agreed upon operating and ownership responsibilities. BACKGROUND: During the 1970s, CCWD and CCCSD developed a joint water Reclamation project that was dependent on regulatory and resource projections that did not materialize. This project entailed several contractual agreements that are no longer appropriate. The General Agreement with the CCWD for Recycled Water was authorized by the Board on October 6, 1994. The General Agreement specified future ownership and operational responsibilities for certain water reclamation facilities constructed during the 1970s. The General Agreement provided that the current Agreement for Special Metering Arrangement, dated August 22, 1979, between CCCSD, CCWD, and Pacific Gas & Electric Company (P G & E) be modified to conform with the General Agreement. Under the General Agreement, CCWD retains ownership of the NaX Plant and CCCSD takes ownership and control of the Clearwell and Clearwell Pumping Station. CCWD does not plan to operate the NaX Plant. Therefore, it is no longer necessary for P G & E to bill CCWD for power used at the NaX Plant and Clearwell Pumping Station. In the event that CCWD decides to operate the NaX Plant, CCWD agrees to enter into a project specific agreement that would include compensating CCCSD for power used to run the NaX Plant. Staffs from CCWD, P G & E, and CCCSD have negotiated a three-party agreement that terminates the August 22, 1979, metering agreement in accordance with the terms of the General Agreement. A copy of the Termination Agreement is attached for your review. RECOMMENDATION: Authorize the General Manager-Chief Engineer to execute the Termination Agreement for Special Metering Arrangement with P G & E and CCWD. Page 2 of 6 Termination Agreement for Agreement for Special Metering Arrangement dated August 22, 1979 between Contra Costa Water District, Central Contra Costa Sanitary District and Pacific Gas and Electric Company This Termination Agreement (fermination Agreement) is made on , 1995 (the Effective Date) by and between the Contra Costa Water District (CCWD), Central Contra Costa Sanitary District (CCCSD) and Pacific Gas and Electric Company (PG&E) to terminate the current Agreement for Special Metering Arrangement (current Agreement) dated August 22, 1979 between the parties entitled Agreement for Special Metering Arrangement. WITNESSETH WHEREAS, on August 22, 1979, CCWD, CCCSD and PG&E entered into the current Agreement whereby CCWD's power consumption for the NaX Plant and final effluent pumps was measured and read separately by PG&E at two meters (Meter Ml and M2); and these readings were subtracted from the recording of the total CCWD and CCCSD power usage measured by PG&E at the 12 kv metering point; and the purpose of the current Agreement was to have separate bills rendered to CCWD an<i CCCSD by PG&E; WHEREAS, on November 2, 1994, CCCSD and CCWD executed a General Agreement for Recycled Water Development (General Agreement) whereby certain CCWD facilities became the property and responsibility of CCCSD for operation and maintenance, and the General Agreement stipulated that the current Agreement would be amended as necessary to be consistent with ownership of facilities defined in the General Agreement; WHEREAS, CCWD and CCCSD have determined that amending the current Agreement includes the option of terminating the current Agreement; and WHEREAS, Section 14 of the current Agreement stipulates that the termination of the current Agreement shall be accomplished by a mutual agreement between the parties. NOW, THEREFORE, IT IS AGREED THAT: 1. The current Agreement for Special Metering Arrangement dated August 22, 1979 between the parties is hereby terminated in its entirety as of the Effective Date of this Termination Agreement. Parties hereby acknowledge that the Effective Date of termination fulfills the requirement of thirty (30) days of prior notice of termination as stipulated in Section 14 of the current agreement. 2. CCCSD shall be totally responsible for the payment to PG&E for all power measured at the 12 kv'metering point adjacent to PG&E's Imhoff substation in CCCSD's substation No. 82 depicted as "(M)" on Exhibit B, the general location of which is depicted on Exhibit A, both from the current Agreement. ' 3. If and when the NaX Plant becomes operational, CCCSD and CCWD shall develop a separate power accounting arrangement under a project specific agreement in which the power used by CCWD's NaX Plant, as defined by the General Agreement, shall be accounted for in the cost of any recycled water purchased by CCWD. 4. CCCSD shall not charge CCWD for any incidental use of power for the NaX Plant (i.e., resale of power shall not occur) such as lighting and routine maintenance activities. If more than incidental use of power for the NaX Plant occurs, CCWD and CCCSD shall develop a separate power accounting arrangement. CCWD, CCCSD and PG&E recognize that it may be appropriate in the future to consider mutually acceptable metering arrangements if, and when, future events materially impact the equitableness of the metering arrangement resulting from this Termination Agreemel\t. 6. If CCWD requests separate electric service for the NaX Plant from PG&E subsequent to the Effective Date of this Termination Agreement, electric service will be provided in accordance with the then current rates and rules as applied by the State of California Public Utilities Commission. 7. The Special Facilities owned by PG&E, as defined by Exhibit C from the current Agreement, shall become the sole property of CCCSD unless removed by PG&E at no cost to CCWD or CCCSD within 180 calendar days from the Effective Date of this Termination Agreement.
