~: Mr. and Mrs. Lawerence A. Teplin, the owners of Lot 9 of Subdivision 4295, have requested the
District to quitclaim the subject easement.
BACKGROUND: The subject easement was dedicated to Central Contra Costa Sanitary District in 1973
when the map of Subdivision 4295 was filed. The easement is located along the western 10 feet of Lot 9
and was created for the future offsite sewer main serving property to the north of Subdivision 4295. This
northerly property is now served by an onsite public sewer installed in 1978. The subject easement is no
longer needed and may be Quitclaimed. The District's Quitclaim processing fee has been paid.
Staff has concluded that this project (the proposed quitclaim) is exempt from the California Environmental
Quality Act (CECA) under District CECA Guidelines Section 18.6, since it involves a minor alteration in land-
use limitations. Board of Directors' approval of this quitclaim will constitute an independent finding that this
project is exempt from CECA.
RECOMMENDAllON: Approve Quitclaim Deed to Lawerence A. Teplin, et ux, Job No. 2208; authorize the
President of the District Board of Directors and the Secretary of the District to execute said Quitclaim Deed;
and authorize the Quitclaim Deed to be recorded.

ISSUE: Easements granted to the District by other agencies require approval by the Board of Directors.
BACKGROUND: An easement from Contra Costa County Flood Control and Water Conservation District
(CCCFD&WCD) is needed for the 24-inch recycled water pipeline to cross Grayson Creek at the Imhoff
bridge. This pipeline will be constructed as a part of the Recycled Water Project - Treatment Plant and
Distribution Facilities, District Project No. 7162. This easement is granted at no cost to the District. Staff
has negotiated with CCCFD&WCD and has concluded that the easement will be satisfactory for this project.
CEOA issues for the Recycled Water project were addressed in the 1993 Negative Declaration. A Notice
of Determination was filed with the County Clerk on September 21, 1993. No additional environmental
documentation is required to comply with the California Environmental Quality Act (CECA).
RECOMMENDATION: Approve and accept a Grant of Easement from Contra Costa County Flood Control
and Water Conservation District, for the Recycled Water Project - Treatment Plant and Distribution Facilities,
District Project No. 7162; Authorize the President of the District Board of Directors and the Secretary of the
District to execute the Grant of Easement; and Authorize the Grant of Easement to be recorded.

ISSUE: Board of Directors' approval is required to accept sewer easements granted to the District and to
approve quitclaiming of sewer easements
BACKGROUND: The District discharges treated effluent to Suisun Bay through a 4-mile long, 72-inch
diameter outfall sewer. The outfall sewer is located on land owned by the District or in sewer easements
granted to the District.
At the northern end of the outfall sewer just before it enters Suisun Bay, the outfall sewer is located in sewer
easements on properties owned by the State of California, Maritime Business Park, and Tidewater Sand and
Gravel Company. (See attached map.) Title to these two properties has been the subject of litigation
between the State of California Lands Commission and the two property owners. As part of the settlement
of this litigation, the State Lands Commission approached the District to prepare new easement descriptions
that would correct a discrepancy between the actual location of the outfall and the original easement
description.
Under the new Grants of Easements, the outfall will be located in the center of the easements. In addition
staff took the opportunity to strengthen conditions in the Grants of Easements relating to encroachments
and other uses over and around the easements.
Staff has concluded that this project is exempt from the California Environmental Quality Act (CEOA) under
District CEOA Guidelines, Section 18.6, since it involves a minor alteration in land-use limitations. Board of
Directors' approval of these actions will constitute an independent finding that this project is exempt from
CEOA.
RECOMMENDATION: Adopt a resolution accepting Grants of Easements from the State of California,
Maritime Business Park, and Tidewater Sand and Gravel Company; approve quitclaim deeds for sewer
easements to the State of California, Maritime Business Park, and Tidewater Sand and Gravel Company, Job
No. 1550, Parcels 7 and 8; authorize the President of the District's Board of Directors and the Secretary of
the District to execute said quitclaim deeds; and authorize the new Grants of Easements and quitclaim deeds
to be recorded.

ISSUE: The property owners have requested the District's approval to allow an encroachment within a
District easement of a corner of a new house, including architectural archway and second-story deck.
BACKGROUND: The above-referenced improvements, which are supported by a concrete-grade beam
crossing the District's easement and concrete piers located on the outside of both edges of the District's
easement, are part of a new residence being constructed by Charles H. And Genevieve M. Hall. The Halls
will be living in their existing home located on the same property until the completion of construction, at
which time the existing home will be demolished. Because of the constraints of topography, parcel size,
building set-back requirements, and the need to make best use of the site, a portion of the new house will
encroach into the existing easement. This easement was granted to this District by the Halls in 1989 to
serve development located north of their property.
Staff has determined that the improvements will not interfere with the present use of our sewer. However,
if the need should arise, the agreement requires the property owner to remove the stated improvements at
the property owner's expense within 30 days of notice to do so.
Staff has concluded that this project (the proposed agreement) is exempt from the California Environmental
Quality Act (CECA) under District CECA Guidelines, Section 18.6, since it involves a minor alteration in land-
use limitations. Board of Directors' approval of this agreement will constitute an independent finding that
this project is exempt from CECA.
RECOMMENDATION: Approve the Agreement Relating to Real Property with Charles H. Hall, et ux,
Job 4410; authorize the President of the Board of Directors and the Secretary of the District to execute said
agreement; and authorize the agreement to be recorded.

ISSUE: Construction has been completed on the Maltby and Fairview Pumping Stations Electrical
Improvements Project, District Project 5060 and the work is now ready for acceptance.
BACKGROUND: Under this project, a 350 kW diesel engine standby generator was installed at the Maltby
Pumping Station to provide backup service in case of a Pacific Gas and Electric power failure. Work also
included modifications of electrical switchgear at Maltby and Fairview Pumping Stations to improve system
reliability and operation.
Details of the project are also included on pages CS-80 through CS-82 of the Fiscal Year 1996-97 Capital
Improvement Budget. See Attachment 1 for the location of the work completed under this project.
The construction contract in the amount of $206,100 was authorized to be awarded to Cooper Crane and
Rigging, Inc. of Novato, California, on April 18, 1996, by the District Board of Directors. The contractor was
issued a Notice to Proceed on May 28, 1996. The contract completion date was November 25, 1996. The
contract work was completed on time, with the District taking beneficial occupancy of the new facilities on
November 19, 1996.
It is appropriate to accept the contract work at this time. The total authorized budget for this project is
$383,000. An accounting of project costs will be provided to the Board at the time of project close out.
RECOMMENDATION: Accept the contract work for the Maltby and Fairview Pumping Stations Electrical
Improvements Project, District Project 5060, and authorize the filing of the Notice of Completion.

ISSUE: Specific approval by the Board of Directors is required for traveling outside of California or if the
expense will exceed $500 if the activity was not included in the current year Operations and Maintenance
Budget.
BACKGROUND: The Microtunneling Research Institute of the Colorado School of Mines in Golden, Colorado
will be giving a short course on microtunneling on February 5,6, and 7, 1997. The course will cover design
and construction considerations related to microtunneling. The District has made considerable use of
microtunneling in the past on the Pleasant Hill Relief Interceptor Project and is currently designing over
11 ,000 feet of microtunneling on the Martinez and Moraga/Glorietta Projects.
Tad J. Pilecki, Senior Engineer in the Infrastructure Division, has been invited to be a guest instructor at the
short course. Tad, through his involvement in the design and construction of microtunneling projects at the
District, has become recognized as an expert in microtunneling from an owners perspective. Attendance
at the course will also give Tad the opportunity to expand his knowledge of microtunneling through
interaction with the other instructors. Course registration for Tad has been waived.
Kent Von Aspern, Senior Engineering Assistant, in the Infrastructure Division, is currently designing the
Martinez project which involves 3,500 feet of microtunneling. Upon completion of the design, Kent will
follow the project into construction as the assistant resident engineer. Attendance at the course will provide
Kent with the tools necessary to provide a proper overview of the microtunneling operations on the Martinez
project.
This specific training course was not included in the 1996-97 budget. There are sufficient funds in the
Infrastructure Division's Technical Training, Conference and Meeting account to cover the cost of
attendance at this conference.
RECOMMENDATION: Authorize attendance of Tad J. Pilecki, Senior Engineer, and Kent Von Aspern, Senior
Engineering Assistant to attend the Microtunneling Short Course on February 5-7, 1997, in Golden,
Colorado at a cost of $3,200.

ISSUE: The Household Hazardous Waste Collection Facility Project general contractor, C. Overaa & Co., has
requested substitution of a subcontractor listed on its bid and contract. Board of Directors' authorization is
required for the substitution.
BACKGROUND: C. Overaa & Co. listed Delta Electrical Construction, Inc. as the subcontractor for electrical
work on its bid proposal to the District for the Household Hazardous Waste Collection Facility Project (DP
7165). Delta Electrical Construction, Inc. has refused to execute the subcontractor agreement offered by
C. Overaa & Co. Under these circumstances, C. Overaa & Co. now seeks Board approval to use Del Monte
Electric Co., Inc. to perform the same work.
Under California Public Contract Code, Section 4107, substitution of a listed subcontractor is permitted only
in certain situations, including situations where the subcontractor has failed or refused to sign a subcontract
agreement. District staff has notified Delta Electrical Construction, Inc. by certified mail of the request for
subcontractor substitution by C. Overaa & Co. and has also advised them of the requirement to notify the
District in writing within five (5) work days of any objection to this proposed action. Failure to submit timely
written objections results in the original subcontractor's automatic consent to the substitution. During a
subsequent telephone conversation initiated by District staff, the owner of Delta Electrical Construction, Inc.
provided assurances that there would not be an objection to the subcontractor substitution request. Based
upon the statements made, District staff believes that the contractor's request will be unopposed.
The awarding authority must consent to the subcontractor substitution to effect the change. In the present
instance, consent by the District Board of Directors is appropriate. The proposed substitution will not result
in any additional cost to the District or result in a delay in the project completion.
RECOMMENDATION: Authorize the substitution of the listed subcontractor, Delta Electrical Construction,
Inc., with a new subcontractor, Del Monte Electric Co. Inc., for electrical work on the Household Hazardous
Waste Collection Facility Project, District Project No. 7165.

ISSUE: The Orinda Crossroads, Moraga and Lower Orinda Pumping Stations (Phase II) Project general
contractor, Monterey Mechanical Company, has requested substitution of a subcontractor listed on its bid
proposal. Authorization of the Board of Directors is required for the substitution.
BACKGROUND: Monterey Mechanical Company (Monterey) listed Del Monte Electric Company, Inc. (Del
Monte), as the named subcontractor for the electrical and instrumentation work on its bid proposal to the
District for the Orinda Crossroads, Moraga and Lower Orinda Pumping Stations (Phase II) Project (DP 4898).
The District Board of Directors (Board) awarded the contract to Monterey on September 19, 1996. Monterey
now maintains that Del Monte has refused to execute a written contract based on the terms and conditions
of Del Monte's written bid for this project, and that Del Monte's refusal is forestalling project progress.
On August 20, 1996, nine days before bid opening, Del Monte submitted to Monterey its written scope of
work, which Del Monte was offering to perform on the project. This written scope of work said nothing
concerning excluding generators from the work Del Monte was offering to perform. Del Monte asserts that
when it telephoned its final price quote to Monterey shortly before bid opening, Del Monte verbally excluded
the generators from the scope of work. Del Monte's position is that because of this verbal exclusion, the
generators which would cost between $50,000 and $100,000 are to be provided by Monterey. Del Monte
has stated in writing that it will not sign a contract at the price quoted if it is required to include the
generators. Under these circumstances, Monterey now seeks Board approval to use Cra-Tek Industrial
Controls & Electric to perform the same work.
Under California Public Contract Code, Section 4107, substitution of a listed subcontractor is permitted only
in certain situations, with the consent of the governing body, including situations where the subcontractor
has failed or refused to execute a written contract (subcontract agreement), which is based upon the terms
of the subcontractor's written bid. District staff, pursuant to legal requirements, notified Del Monte by
certified mail of Monterey's request for subcontractor substitution and of the requirement to notify the District
in writing within five (5) working days of any objection to this proposed action. Del Monte subsequently
protested the proposed substitution request within the statutory period allowed. The District then provided
legal notice to both Monterey and Del Monte of the intent by the Board to conduct a public hearing on this

CONDUCT PUBLIC HEARING AND CONSIDER REQUEST TO SUBSTITUTE DEL MONTE ELECTRIC CO.,
THE LISTED SUBCONTRACTOR, WITH CRA-TEK INDUSTRIAL CONTROLS & ELECTRIC, A NEW
SUBCONTRACTOR, FOR ELECTRICAL AND INSTRUMENTATION WORK ON THE ORINDA
CROSSROADS, MORAGA AND LOWER ORINDA PUMPING STATIONS (PHASE II) PROJECT (DP 4898)
issue at this Board meeting. Both were also requested to provide a copy of any documentation they
wanted the Board to consider in making their determination. Documents submitted by both parties are
attached for Board review.
Upon completion of the public hearing, the Board will need to determine whether or not it consents to the
subcontractor substitution request. It is not the obligation of the Board to attempt to finally arbitrate any
dispute between Monterey and Del Monte. There may be disputes between Monterey and Del Monte
concerning verbal communications in connection with Del Monte's written bid. If the parties so desire,
they may seek resolution of any such disputes in a court or another forum of their choosing. However,
the District Board is permitted by statute to focus upon the contents of the written bid and the proposed
contract based upon such written bid, in reaching its decision whether to consent to a subcontractor
substitution. The Board only needs to determine whether or not Del Monte refused to enter into a written
contract with Monterey, which contract was based upon Del Monte's written bid (written scope of work).
If the Board so determines, the substitution request may be approved.
The proposed substitution, if authorized, will not result in any additional cost to the District or result in any
delay in the project completion. If the Board determines not to grant the substitution request, and the
parties are unable to resolve the dispute in a timely manner, there could be potential adverse project
impacts including, but not necessarily limited to, delay in the project completion.
RECOMMENDATION:
1. Conduct a public hearing to consider Monterey's subcontractor substitution request;
2. Conclude whether or not Del Monte Electric Co. is willing to execute a contract with Monterey
Mechanical Co., which is based on the terms and conditions of its written bid.
3. Authorize or deny the request for substitution of the listed subcontractor, Del Monte Electric
Company, Inc., with a new subcontractor, Cra-Tek Industrial Controls & Electric, for the electrical
and instrumentation work on the Orinda Crossroads, Moraga and Lower Orinda Pumping Stations
(Phase II) Project (DP 4898).

Subject: Substitution of Listed Subcontractor, Delmonte Electric, Inc.
Dear Mr. Klimczak,
This letter is being sent in response to District correspondence received on
November 25, 1996 regarding the subcontractor substitution request on the above
referenced project.
Enclosed please find additional documents which support Monterey
Mechanical's position on the receipt and evaluation of Delmonte Electric's proposal as
described in our correspondence of November 7, 1996.
The process practiced by Monterey Mechanical Co. during bidding is as follows:
1. Major subcontractors submit specific scope letters as requested by Monterey
Mechanical Co. stating what items then are bidding on.
2. Each Subcontractor is compared with each other on a "equal" scope basis, I.e. "Ace
has anchor bolts" "Acme does not have anchor bolts", result: add $500.00 to Acme's
proposal for anchor bolts for price comparison.
This allows an estimator the opportunity of comparing subcontractors which have
the same scope of work.

The Orinda Crossroads bid was analyzed as follows:
I. Bid Evaluation Sheet - Attachment "A"
A. This form was constructed prior to bid date showing the scope of each electrical
subcontractor quoting the project. Each subcontractor's scope letter was
reviewed with exclusions and inclusions noted for adjustments. The adjustments
bring each subcontractor in direct comparison with each other.
B. As seen on "Attachment A" (2) subcontractors excluded Eng/Gen sets in Division
16. These subcontractors (Todacheeny Electric and United Electric) had the
amount required to purchase Eng/Gen sets added to their quotes for proper
comparison.
Todacheeny Electric scope letter, "Attachment B", is explicit in saying: "(3) No
generator equipment Section 164000 - 164186 was included."
United Electric scope letter, "Attachment C", is explicit in saying in Item 7:
"Furnish install and test standby generator sets add $32,000 to Item 4, add
$32,000 to Item 5 and add $36,000 to Item 8 if required (manufacturer:
Caterpillar).
C. Delmonte Electric's scope letter, "Attachment D", states in part as follows: "To
provide all labor, material as necessary including addenda and per plans and
specs. Section 16000 & 17000." The list of exclusions are very specific and
there is no item that describes exclusions of engine generator sets. The
handwritten notation indicate that: "Section 1-f, got-it", "Seismic Restraints -
Whatever they put in", "MCC - Cutler Hammer", "Eng/Cat" and "No cathodic
protection." Phone conversations with Delmonte confirmed this scope and
pnclng.
The items that were excluded prompted the estimator reviewing the process to
adjust the scope as shown in Attachment A.
These adjustments did not include any costs for engine generator sets as these
costs were included in the scope letter.
As a matter of clarification I have also included, "Attachment F" in this
correspondence stating that Delmonte Electric received a quotation from
Peterson Power (Caterpillar) for the Eng/Gen sets at bid time.
Monterey Mechanical Co. was considered "Low Bidder" by the District and at that
time we requested price confirmation from Delmonte Electric. Note: "Attachment E"
shows confirmation that, "Generator sets not included" in their proposal.
Monterey Mechanical has submitted various items of correspondence on this
issue for your review and documentation explaining how pricing was evaluated to arrive
at listing Delmonte Electric.

Monterey Mechanical has approached Delmonte Electric with the intent to issue
a subcontract for the electrical work on this project. Delmonte Electric specifically
stated that they would not sign a subcontract for this work.
It is because of their unwillingness to accept a subcontract with specific terms
and conditions that Monterey Mechanical Co. requests to substitute them with another
subcontractor.
Monterey Mechanical Co. requests that the District give allowance for
substitution in this case for the following company to complete the electrical scope of
work on the Orinda Crossroads project:

On or about August 26, 1996 we sent our scope lett~l: V-' a~.]
generals bidding the project. Our scope letter at that time did
not exclude the generators.
On August 28, 1996 I called all generals listed to confirm i.f they
were still bidding the project. All of the generals were g~ttin0
prices on the generators and asked that I exclude them from our
bid. I specifically remember speaking with Bob Gray because I knc~
him from Dillingham Constr'uction a.no was surprised he was flOw wi t'h
Monterey Mecnanical. He asked me not to include the cost 0f the
generator sc it would not be marked up twice. \':e also talked c:bou~
whether I would even quote them since they almost always llse WSl~
Electric. He assured me WSB was not bidding this pr0jec~
Sometime after the project bid we learned Albay was low bi(5'3~r and
pulled their bid because of some error. At that time we also
learned Monterey Mechanical was second bidder.
I called Bob Gray on September 9, 1996 to see if they listed Del
Monte Electric Company and he said they did. We started laIr: ~.?1g
about the project and he as).,ed me who's generator we were u::;ing.
I was surprised at the question because we had excluded the
generator sets. Whf'n I told him this he did not sound surprised,
but said "I'm going to have to talk to my higher ups about this"
At that time he asked me to fax him a confirmation of my quote
which is enclosed.

with them and the fellow in charge of that project is on vacation
until next week.

Del Monte Electric Company states once again that at bid time we
specifically excluded generator set. If you choose, you can verify
this with other general contractors that bid this job.
The question was never asked if we were WBE. Our scope letter
states that we are WBE self-~ertified which we are.
We were asked if we received a quote on the generator sets and who
quoted. I do not remember l.f your company asked that question, but
we did receive a quote from Caterpillar.
We were told by most, if not all generals, that they would suppJy
generators so they would only have to be marked up once.
We will not sign a contract that includes generator sets.
If you should have any question, please do not hesitate to call.

Per our discussion on the above project we gave you a telephone
quote at 1:53 p.m. on August 29, 1996. This quote was given to Bob
Gray.
Our quote to all bidders was with no generator since the generator
vendors quoted all generals.
A discussion with Bob Gray followed several days after bid ardlit
was confirmed our bid did not include generator.
The other generals listed Del Monte Electric Company with complete
understanding that the generators were excluded.

MMC intends to award the Electrical and Instrumentation subcontract on the above
referenced project to Del Monte Electric Co. Inc. for the lump sum price of $369,836.00.
The scope of work which this award is based includes but is not necessarily
limited to the following items:

ISSUE: Board of Directors' authorization is required for the General Manager-Chief Engineer to execute
professional service agreements for amounts greater than $50,000.
BACKGROUND: The trunk sewer serving the eastern part of downtown Martinez is deteriorated and under
capacity. The sewer was originally installed in the 1920's. Overflows from the sewer occurred during the
winter of 1995 near Court, Jones, and Pine streets and further upstream along Pacheco Boulevard.
Under the Martinez East Side Trunk Sewer Project, DP 4950, approximately 7,000 feet of deteriorated trunk
sewer will be replaced with a new, larger sewer (see attached Figure 1). In addition approximately 13,000
feet of deteriorated sewer mains that are tributary to the trunk sewer will be replaced. Sewer installation
methods include conventional open-cut construction, as well as the trench less methods of microtunneling,
directional drilling, and pipe bursting. Project construction will begin in spring 1997 and is estimated to cost
$2.2 million.
The soil conditions in the project area range from bay mud to silty clay to sandstone. The first phase of a
geotechnical engineering study has been completed. The first-phase study characterized soil conditions and
provided information for design. Because of the range of soil conditions and the proposed use of
microtunneling, additional geotechnical information is needed to complete design and to facilitate
construction. Geotechnical borings will be made at specific locations of proposed microtunneling work pits
and to determine the location of the interfaces between different soil types along the microtunnel alternative
routes.
DCM/Joyal Engineers conducted the first-phase geotechnical study. Staff has negotiated a cost-
reimbursement agreement with a cost ceiling of $66,235 with DCM/Joyal to conduct the second-phase
geotechnical study.

Staff has concluded that this agreement is exempt from the California Environmental Quality Act (CECA)
under ~istrict CECA Guidelines, Section 17.3, since it involves a feasibility or planning study for possible
future actions which the District has not approved, adopted, or funded, and the outcome of the study will
not have a legally binding effect on later activities. Board of Directors' approval of this agreement will
constitute an independent finding that this project is exempt from CECA.
The Martinez East Side Trunk Sewer Project is included in the 1996-97 Capital Improvement Budget
(pages CS-48 through CS-50).
RECOMMENDAll0N: Authorize the General Manager-Chief Engineer to execute a professional engineering
agreement with DCM/Joyal Engineers with a cost ceiling of $66,235 to provide geotechnical engineering
services for the Martinez East Side Trunk Sewer Project, DP 4950.
