HomeMy WebLinkAboutBOARD MINUTES 07-10-47 1 'L t~ MINUTES OF THE REGULAR MEETING OF THE SANITARY BOARD OF THE CENTRAL CONTRA COSTA SANITARY DISTRICT HELD JULY 10. 1947 The Sanitary Board of the Central Contra Costa Sanitary District convened in regular session at its regular place of meeting located at 1335 Commercial Lane, in the City of Walnut Creek, County of Contra Costa, State of California, on the lOth day of July, 1947, at the hour of 8:00 o'clock p.m. The meeting was called to order by President Weill. The following roll was called: PRESENT: Directors Johnson, Toland, Wadsworth and President Weill. ABSENT: Director Tuttle. RESIGNA TION OF DIRECTOR TUTTLE The following letter from Mr. Tuttle was read: "Gentlemen: I am moving from Lafayette, this county, to Alameda County and am advised that the law contemplates that members be residents. I therefore hereby present my resignation as a Director of your Sanitary District, effective immediately." A motion was presented by Director Wadsworth, seconded by Director Toland that Mr. Tuttle's resignation be accepted. Carried by the following vote: AYES: Directors Johnson, Toland, Wadsworth and President Weill. NOES: ABSENT: None None It was moved by Director Toland, seconded by Director Johnson that the Secretary be authorized to write a letter to Mr. Tuttle thanking him for his work on the Board. The minutes of the special meeting of June 10,1947 were read and approved as entered, by unanimous vote. The minutes of the meeting of May 29, 1947 were approved as entered. PROSPECTUS FOR BOND SALE President Weill called upon Mr. Youngberg to introduce Mr. Parker of the Parker Printing Company, who advised the Board that 100 copies of the Bond Prospectus would cost $275, with an additional 100 at a cost of $18. making a total of $293. for 200 copies. It was moved by Director Toland, seconded by Director Smitten that the Board instruct the Parker Printing Company to print 200 copies. Carried by the following vote: AYES: Directors Johnson, Toland, Smitten, Wadsworth and President Weill. NOES: ABSENT: None None Director Smitten moved, seconded by Director Toland that the Secretary be instructed to write a letter to Mr. Youngberg complimenting him on the efficient work he did for the Board. The following resolution was presented by Director Wads- worth: RESOLUTION NO. 29 WHEREAS, this Sanitary Board on the 1st day of May, 1947, did order a special election to be held on the 3rd day of June, 1947, in and throughout the territory embraced in Central Contra Costa Sanitary District, Contra Costa County, California, for the purpose of submitting to the qualified electors resident in said District the following proposition, to wit: PROPOSITION: Shall the Centr8l Contra Costa Sanitary District, Contra Costa County, incur a Bonded indebtedness in the sum of Two million four hundred thousand dollars ($2,400,000) for the purpose of raising money for the acquisition and construction of sewers, drains and sewerage col- lection, outfall, treatment works and sanitary dis- posal system? and WHEREAS, notice of said election was duly and regularly given and said election was duly and regularly held on June 3, 1947, in and throughout said District, and the result thereof duly and regularly canvassed and more than two-thirds of the votes cast at said election were in favor of issuing said bonds; and WHEREAS, it appears to this Board, and this Board hereby finds and declares, that all acts, conditions and things re- quired by law to exist, happen and be performed precedent to and in the calling of and the conduct of said, election, and the determining of the result thereof, and precedent to the issuance of said bonds have existed, happened and been performed in due time, form and manner as required by law; BE IT RESOLVED AND ORDERED by the Sanitary Board of Central Contra Costa Sanitary District of Contra Costa County, State of California, as follows: FIRST: correct. That all recitals herein set forth are true and SECOND: That bonds be issued by Central Contra Costa Sani- tary District of Contra Costa County in pursuance of the afore- said election and provisions of law applicable thereto, and as provided by said proposition above set forth, in the aggregate principal sum of two million four hundred thousand ($2,400,000) dollars. Said bonds shall be of the denomination of one thousand ($1,000) dollars each, numbered from 1 to 2400, both inclusive, and shall bear interest at a rate not to exceed five (5) per cent. per annum, payable semi-annually. Said bonds shall be dated June 15,1947; shall be of the character known as "serial"; and shall mature in consecutive numerical order, from lower to higher, as follows, to wit: $60,000 principal amount of said bonds shall mature and be payable on June 15 in each of the years from and including 1948 to and in- cluding 1957. $90,000 principal amount of said bonds shall mature and be payable on June IS in each of the years from and including 1958 to and in- cluding 1977. <t Interest accruing on said bonds shall be pa.yable semi-annually on the 15th day of June and the 15th day of December of each and every year until said bonds are redeemed and paid. Such interest prior to maturity shall be evidenced by interest' coupons attached to said bonds and each of such coupons shall represent six months' interest accruing on the bond to which it is attached. Both the principal of and interest on said bonds shall be payable in lawful money of the United Statæ of America at the office of the Treasurer of the County of Contra Costa, in Martinez, California. This bond is one of a series of bonds of like tenor and date (except for such variations, if any, as may be required to designate varying numbers, maturities or interest rates) numbered from 1 to 2400, both inclusive, amounting in the aggregate to the sum of two million four hundred thousand ($2,400,000) dollars, and is issued and sold by the Sanitary Board of Central Contra Costa Sanitary District of Contra Costa County, State of California, for the purpose of raising money for the acquisition and construction of sewers, drains and sewage collection, outfall, treatment works and sanitary dis- posal system, all in pursuance of and in strict conformity with 06 10 (ii 124 the provisions of the Health and Safety Code of the State of California, and the Constitution of the State of California, and is authorized by a vote of more thAn two-thirds of the qualified electors resident within said District voting at an election duly and legally called and held and conducted in the said District. The Sanitary Board of Central Contra Costa Sanitary District of Contra Costa County, State of California, hereby certifies and declares that said election was duly and legally called, held and conducted, and that notice thereof was duly and legally given and published and the result thereof was duly and legally canvassed and declared in the manner and as required by law, and that all acts, conditions and things required by law to exist, hR.ppen and be performed precedent to and in the issuance of said bonds have existed, happened and been performed in regular and in due time, form and manner and in strict accordance with the provisions of the law authorizing the issue of sanitary district bonds. It is further certified and declared that the total amount of indebtedness of said District, including this issue of bonds, is within the limit provided by law, and that due provision has been made for the levy and collect~on of an annual ad valorem tax upon all the taxable property in said District sufficient to pay the principal of and interest on this bond as the same shall fall due and to provide a sinking fund for the final redemption of this bond on maturity. For the punctual payment of this bond, with interest hereon as aforesaid, and for the levy and collec- tion of taxes sufficient for that purpose, the full faith and credit of said Central Contra Costa Sanitary District of Contra Costa County are hereby irrevocably pledged. FIFTH: The Sanitary Board of said Central Contra Costa Sanitary District of Contra Costa County shall annually levy a tax upon the taxable property in said Central Contra Costa Sani- tary District of Contra Costa County sufficient to pay the interest on said bonds for the year and such portion of the principal as is due or is to become due during such year, so that the entire amount of principal and interest of said bonds shall be paid at the respective dates of maturity thereof. The taxes herein required to be levied and collected shall be in addition to all other taxes levied for sanitary purposes in said District and shall be collected at the time and in the same manner and by the same officers as other district taxes are collected and shall be used for no other purpose than the pay- ment of said bonds and accruing interest. AUGUST 14. 1947 at the hour of 11:00 A.M. (P.S.T.) for the purchase of $1,800,000 principal amount of bonds more particularly described below: ISSUE: $1,800,000 consisting of 1800 bonds of the denomination of $1,000 each, all dated June 15, 1947. Said bonds constitute the initial 06 10 47 1 21 portion of an authorized issue of $2,400,000 principal amount of bonds. The remaining $600,000 principal amount of bonds of said authorized issue may be hereafter issued and sold whenever in the judgment of the Sanitary Board additional funds are reQuired. It is not contemplated that said remaining $600,000 principal amount of bonds of said authorized issue will be sold prior to Jan- uary 1, 1948. INTEREST RATE: Maximum five (5) per cent. per annum, payable semi-annually on June 15th and December 15th in each year. Bidders must specify the rate of interest which the bonds hereby offered for sale shall bear. Bidders will be permitted to bid differ- ent rates of interest and to split rates irrespective of the maturities of said bonds. PURPOSE OF ISSUE: Said $2,400,000 principal amount of bonds was authorized by two-thirds vote of the qualified electors at a special bond election for the purpose of raising money for the .acquisition and construction of sewers, drains and sewerage collection, outfall, treatment works and sanitary disposal system in said District. SECURITY: The Sanitary Board of said District has power and is obligated to cause annual ad valorem taxes to be levied upon all property in said District subject to taxation by said District for the payment of both the principal of and interest on said bonds without limitation of rate or amount. TAX EXEMPT STATUS: In the event that prior to the delivery of the bonds the income received by private holders from bonds of the same type and character shall be de- clared to be taxable under any Federal Income Tax Laws, either by the terms of such laws or by ruling of a Federal Income Tax authority or official which is followed by the Bureau of Internal Revenue, or by decision of any Federal Court, the successful bidder may, at his option, prior to the tender os said bonds by the District, be relieved of his obligation under the contract to purchase the bonds and in such case the deposit accompanying his bid will be returned. 06 10 41, 11) )..¡:",," 'loA') LEGAL OPINION: The legal opinion of Messrs. Orrick, Dahlquist, Neff, Brown & Herrington, of San Francisco, California, approving the validity of said bonds will be furn- ished to the successful bidder without charge. TERMS OF SALE Highest Bid: The bonds will be awarded to the highest and best bidder considering the interest rate or rates specified and the premium offered, if any. The highest bid will be determined by deducting the amount of the premium bid (if any) from the total amount of ~nterest which the Dis- trict would be required to pay from September 15, 1947 to the respective maturity dates at the coupon rate or rates specif- ied in the bid, and the award will be made on the basis of the lowest net interest ,cost to the District. The lowest net int- erest cost shall be computed between the dates aforesaid according to standard bond interest tables. The purchaser must pay accrued interest from the date of the bonds to the date of delivery. The cost of printing the bonds will be borne by t~e District. Right of Rejection: The District reserves the right, in its discretion, to reject any and all bids and to waive any irregularity or informalit~ in any bid. Prompt Award: The Sanitary Board will take action awarding the bonds or rejecting all bids not later than 24 hours after the expiration of the time herein prescribed for the receipt of proposals; provided that the award may be made after the expiration of the specified time if the bidder shall not have given to the Board notice in writing of the withdrawal of such proposal. Prompt Delivery: Delivery of said bonds will be made to the successful bidder at the office of the Treasurer of Contra Costa County in Martinez, California, as soon as the bonds can be prepared, which it is estimated will be October 1, 1947. Right of Cancellation: The successful bidder shall have the right, at his option, to cancel the contract of purchase if the District shall fail to tender the bonds for delivery on or before November 1,1947, and in such event the successful bidder shall be entitled to the return of the deposit accompanying his bid. Form of Bid: All bids must be unconditional for not less than all of the bonds hereby offered for sale, and for not less than the par value thereof and accrued interest to date of delivery. Such bids, together with bidder's check must be enclosed in a sealed envelope addressed to the Sani- tary Board of Central Contra Costa Sanitary District of Contra Costa County and endorsed "Proposal for Central Contra Costa Sanitary District of Contra Costa County Bonds, Issue of 1947". Bid Check: With each bid must be submitted a certified check or cashier's check for $5,000 drawn on a bank or trust company authorized to transact and transacting business in the State of California, payable to the order of the Tre~s- urer of Contra Costa County to secure the District from any loss resulting from the failure of the bidder to comply with the terms of his bid. In addition bidders are requested (but not required) to supply an estimate of the total net interest cost to the District on the basis of their respective bids, which shall be considered as informa~ive only and not binding on either the bidder or the District. FINANCIAL STATEMENT Further information relative to the financial condition of the District will be furnished to any bidder upon request. There is no controversy or litigation pending or threat- ened concerning the validity of the above issue, the co~porate existence of the District, or the title of the officers to their respective offices. Permit was received and filed. In response to request by the District Engineer the State of California, Division of Highways, issued encroach- ment permit No. E-44342 under date of July 7,1947 for in- stalling main trunk sewer under State Highway IV-CC-75-B at Mile 3.08 plus or minus. Permit was received and filed. Director Toland offered the following resolution: RESOLUTION NO. 30 WHEREAS, Central Contra Costa Sanitary District has here- tofore authorized the issuance of $2,400,000 principal amount of bonds pursuant to an election held in said District on June 3, 1947, and has duly authorized the issuance and sale of $1,800,000 principal amount of said bonds; and WHEREAS, the District has moneys available in the Running Expense Fund for the payment of the initial installment of principal and interest on said bonds proposed to be issued and sold; and WHEREAS, Section 6793 of the Health and Safety Code of the State of California authorizes and permits the Sanitary Board to cause the whole or any part of moneys in the Running Expense Fund of the District to be transferred to the Bond Fund of the District; and WHEREAS, it is deemed necessary and desirable to make the transfers herein provided; NOW, THEREFORE, BE IT RESOLVED AND ORDERED by the Sani- tary Board of Centre. 1 Contra Costa Sanitary District as follows: 06 10 47 1 ;{ i. 1. There is hereby transferred from the Running Expense V. LJ / Fund of Central Contra Costa Sanitary District to the Bond Fund of Central Contra Costa Sanitary District the sum of $60,000, which amount shall be applied to the payment of the principal of and interest on said bonds proposed to be issued and sold to become due December 15,1947 and June 15, 1948, respectively. 2. The County Treasurer of Contra Costa County is hereby authorized and directed to transfer said moneys from the Running Expense Fund of Central Contra Costa Sanitary District to the Bond Fund of Central Contra Costa Sanitary District and to use ~ and apply any moneys in the Bond Fund of said District to the payment of the principal of and interest on the bonds of said ~ <:'1 - ..' .:c <: District as the same become due and payable. 3. If at any time the moneys in the Bond Fund of Central Contra Costa Sanitary District are insufficient to pay the principal of or the interest on the bonds of said District as the same become due and payable, the County Treasurer of Contra Costa County is hereby authorized and directed without further act of the Sanitary Board of said District to cause to be transferred any moneys in the Running Expense Fund of said District to the Bond Fund of said District, at the time and in the amounts necessary for the payment of the principal of and interest on any bonds of said District payable at the office of said County Treasurer, and this resolution shall constitute full and adequate authority to the County Treasurer of Contra Costa County to make such transfers. REPORT ON LEASE - HOOPER PROPERTY Mr. Mason reported on negotiations with the Hooper Company for their property adjacent to Annie Loucks' property. The Hooper Company value their land at $700 per acre, Mr. Marshall valued it at $300 per acre. Mr. Quigley offered a lease for $15. per acre for year.
